Experience

Caroline is a very experienced real estate lawyer. with a particular specialism in security charging. She has over 25 years’ experience at leading firms within the affordable housing finance sector. Caroline advises housing associations on all aspects of charging to secure bank loans, bond issues, private placements and refinancing. She acts on small transactions and those up to £350M in size.

Expertise

Her extensive experience and in-depth expertise enables her to give pragmatic advice, to identify and solve problems early and to place properties into charge smoothly and efficiently. Caroline also has extensive experience uplifting property values by advising on mortgagee exclusion clauses and varying s106 agreements, leases and nominations agreements.

Notable Projects

  • Acting on the security aspects of a £110m funding package for a large south of England housing association, including a sector first £50m Green Term Loan and £260m sustainability-linked RCF to fund over 300 new energy efficient homes of EPC B+ or better.
  • Acting on the security aspects of the merger of two housing associations with a combined total of 32,000 homes. Work included carrying out title due diligence for around 10,000 properties, successfully increasing the value of our client’s stock by over £20 million and placing 1,3000 properties less than three weeks from receipt of instructions.
  • Acting on the security aspects of the issue of £160m of sustainable secured notes under a private placement to US and Canadian investors. Work included carrying out due diligence on over 1,000 units.
  • Acting for a large for-profit housing association to secure £100m funding, including a large proportion of newly built stock not yet registered to either the association or its predecessor in title at the Land Registry.
