Senior Associate

Dinusha is in our Corporate and Commercial team. She advises both private and public sector clients on corporate and commercial matters.

Dinusha has a particular focus on corporate finance, restructuring, mergers and acquisitions, governance, and joint ventures in the health and housing sectors which often involves advising charities.

Dinusha has corporate banking experience working on banking and refinance deals involving security and will provide support on any associated corporate documentation required.

Expertise

Dinusha advises on all matters in relation to corporate transactions, funding, structuring and joint venture arrangements.  Dinusha has particular expertise in advising in relation to:

  • Mergers and acquisitions pursuant to share transfers as well as asset transfers.
  • Corporate transactions involving companies limited by shares and companies limited by guarantee including advising on incorporating and dissolving corporate vehicles.
  • Corporate banking working on facility and refinance deals involving security.
  • Advising on constitutional documents, namely articles of associations of companies with charitable status, rules of community benefit societies.

Notable projects

  • Advising a housing association on the disposal of its shares in a company, the amendment and termination of a loan agreement together with the release of security.
  • Advising on a housing client on the restructuring of its group of companies, private equity firm funding arrangement involving facility agreement amendments, accession to facility and security arrangements.
  • Advising a housing client on a share acquisition of an SPV property holding company and hive up of assets and involving a review of complex restructure of group structures.
  • Advising on a settlement payment arising from an anti-embarrassment provision triggered by a sale of shares in a company involving an NHS body.
  • Advising a charity on issues arising in connection with adopting changes in its constitution to permit payments to trustee particularly in the context of the appointment of employees as trustees.
